ARTICLE I: NAME & PURPOSE

Section 1: Name

The name of the organization shall be WeMIGA Foundation (hereinafter referred to as the “Foundation”).

Section 2: Purpose

WeMIGA Foundation is a non-governmental organization (NGO) dedicated to empowering communities, promoting sustainable development, and fostering socio-economic growth in India. The Foundation shall operate as a non-profit entity and shall not engage in any activity for personal financial gain.

ARTICLE II: MEMBERSHIP

Section 1: Eligibility

Membership is open to individuals, corporations, institutions, and other entities that support the mission and vision of the Foundation.

2.1 General Membership

2.9 Benefactor Membership (New!)

Who Can Join?

  • Supporters who donated for our cause and our projects on a regular basis or on a bigger level.

Commitment:

  • Annual commitment of at least 50,000/- to our movement or any project published on our platform.

Section 3: Rights & Responsibilities

  • Members shall adhere to the values and objectives of the Foundation.
  • Members have the right to attend meetings, participate in programs, and vote in general meetings.
  • Membership may be revoked due to misconduct or actions contrary to the Foundation’s mission.

ARTICLE III: GOVERNANCE

Section 1: Board of Directors

The Foundation shall be governed by a Board of Directors (BoD), responsible for overseeing policies, programs, and financial matters.

Section 2: Composition & Term

  • The Board shall consist of at least 7 and no more than 15 members.
  • Board members shall serve a term of five (5) years and may be reappointed.
  • The founding board members shall hold permanent advisory positions.

Section 3: Roles & Responsibilities

  • Convenor: Provides strategic direction and presides over board meetings.
  • Co-Conveynor: Assists the Chairperson and assumes responsibilities in their absence.
  • Secretary: Maintains records, documents, and meeting minutes.
  • Treasurer: Oversees financial management, donations, and expenditures.
  • Board Members: Assist in governance, decision-making, and program execution.
  • Council Members: Assist the Board in governance, decision-making, and program execution.

ARTICLE IV: MEETINGS

Section 1: General Meetings

  • The Foundation shall hold an Annual General Meeting (AGM) to review activities, financials, and strategic plans.
  • Special meetings may be called by the Chairperson or upon request by one-third of the council members.

Section 2: Board Meetings

  • The Board shall meet at least four (4) times a year to discuss governance matters.
  • A quorum shall be two-thirds of the Board members for decision-making.

ARTICLE V: FINANCIAL MANAGEMENT

Section 1: Revenue Sources

The Foundation shall be funded through:

  • Donations and grants from individuals, corporations, and government entities.
  • Membership fees and sponsorships.
  • Revenue-generating activities aligned with the Foundation’s mission.

Section 2: Financial Accountability

  • Funds shall be managed responsibly, ensuring transparency and accountability.
  • An annual financial audit shall be conducted by an independent auditor.
  • No member shall personally profit from the Foundation’s funds.

ARTICLE VI: PROGRAMS & INITIATIVES

Section 1: Key Focus Areas

The Foundation shall implement programs in the following areas:

  1. Agriculture & Sustainability – Supporting organic farming and agri-tech innovations.
  2. Community Development – Creating opportunities for underprivileged individuals.
  3. Entrepreneurship & Skill Development – Assisting startups and small businesses.
  4. Health & Wellbeing – Promoting healthcare and wellness programs.
  5. Environmental Conservation – Advocating for eco-friendly and sustainable practices.

Section 2: Partnerships

The Foundation shall collaborate with government bodies, private sector partners, NGOs, and international organizations to maximize impact.

ARTICLE VII: AMENDMENTS & DISSOLUTION

Section 1: Amendments

  • The Board may propose amendments to the by-laws, which shall require approval by a two-thirds majority vote of the General Members.
  • Proposed amendments must be circulated at least 30 days in advance of the voting meeting.

Section 2: Dissolution

  • In the event of dissolution, all remaining assets shall be donated to another non-profit organization with similar objectives.
  • No assets shall be distributed to any member or private individual.

ARTICLE VIII: MISCELLANEOUS

Section 1: Code of Conduct

All members and stakeholders shall adhere to ethical practices, transparency, and accountability in all dealings related to the Foundation.

Section 2: Compliance with Laws

The Foundation shall operate in compliance with all applicable laws and regulations of India, including tax exemptions, non-profit governance, and charitable organization laws.
